1.ACCEPTANCE OF TERMS

  1. By using this website (the "Site"), you agree to be bound by the Terms and Conditions (the "Terms") of VEHICLE REFERENCE IMAGES (‘VRI’) as set forth below, along with any amendments and any additional terms they incorporate by reference. VRI is the owner and operator of this Site.

  2. Definition and Interpretation:

    • “The Company” refers to VEHICLE REFERENCE IMAGES which may be referred to as “VRI”

    • "User" refers to anyone who accesses or uses the Site or “you”

    • “Site” means the website under VRI, namely vehicle-referenceimages.com

    • "Content" refers to any photographs, images, text, or other materials uploaded to the Site.

    • "Paid Content" refers to Content made available to other Users for a fee. Terms defined in the singular shall include the plural and vice versa, and headings are for convenience only and shall not affect the interpretation of these Terms.

  3. Use of the Site is available only to individuals who meet all criteria delineated in these Terms. Users may be required to register and provide certain personal information to access certain features of the Site.

  4. Users are responsible for their use of the Site, including the legality, reliability, and appropriateness of any Content they upload. Users must not upload any Content that violates copyright laws, promotes illegal activities, or infringes upon the rights of others.

  5. Users retain ownership of the Content they upload but grant VRI a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and distribute such Content. For Paid Content, additional terms apply.

  6. Users who opt for the 'paid' option agree to the payment processing terms, pricing structure, and revenue-sharing model as detailed in the Site's payment terms section.

  7. Privacy Policy and Data Usage - The use of personal information collected through the Site is governed by the Site’s Privacy Policy, which is incorporated by reference into these Terms.

  8. VRI provides the Site “as is” and “as available,” without any warranties of any kind. The Company is not liable for any damages or losses resulting from the use of the Site or its Content.

 

2.INTELLECTUAL PROPERTY

  1. VRI remains the sole owner of all right, title, and interest in the Site and reserves all rights not expressly granted under these Terms and Conditions. VRI may modify, replace, or discontinue the Site or any part thereof at any time, for any reason, with or without notice, at VRI’s sole discretion. The Site is provided on an “as is” and “as available” basis.

  2. VRI nonetheless makes no claim on the trademarks of any companies or manufacturers which appear on the Site, and which remain the exclusive property of their respective owners.

  3. Users who upload content to the Site ("User Content") grant VRI a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, display, distribute, and create derivative works of such User Content. Users confirm they have all necessary rights and permissions to grant this license.

  4. Intellectual property/copyright owners or their representatives may report alleged infringements of their intellectual property or copyrights on the Site. VRI will respond to such notices so far as reasonable possible by taking appropriate action such as removing or disabling access to the infringing material. VRI does not accept liability for any Intellectual Property breaches.

  5. Users agree to indemnify and hold VRI harmless from any claims, damages, or expenses (including legal fees) arising from their breach of intellectual property laws or the rights of a third party in relation to the Site.

  6. VRI permits the download of images, subject to the payment of relevant fees as set by the Uploaders and VRI, however these images must not be republished digitally, in print, or by any other means, nor may they be used for any commercial purposes, either in their original or in any modified form. VRI reserves the right to pursue damages against any individual, company, or entity violating this term.

  7. By posting images on the Site, Users give VRI and its owners the right to republish said images on third party social media websites.

  8. All rights not expressly granted in these Terms are reserved by VRI. No other rights or licenses are granted implicitly or otherwise under any intellectual property rights owned or controlled by VRI or its licensors.

  9. Users are responsible for ensuring that the content they upload does not infringe upon the intellectual property rights of others and that they have all necessary rights and permissions to use and share this content.

  10. VRI reserves the right to update, modify, or remove content at its discretion, especially for legal compliance or quality control reasons.

 

3.PERMITTED USE

  1. All images uploaded on the Site must be the intellectual property of the Uploader and must be taken only with the express written consent of the vehicle owner. The vehicle registration must be censored by the Uploader. All images must be high definition, authentic, unedited in a deceptive manner, and must comply with all relevant privacy, copyright, data protection, and image rights laws under United Kingdom law. Failure to abide by any of these terms may result in the deletion of the offending image and the banning of the Uploader, at the discretion of VRI.

  2. VRI permits the download of images, subject to the payment of relevant fees as set by the Uploaders and VRI. These images must not be republished digitally, in print, or by any other means, nor may they be used for any commercial purposes, either in their original or in any modified form. Redistribution or resale of the images is strictly prohibited. Users are responsible for any misuse of these images by third parties if such misuse results from the user's actions. Violation of this term will result in legal action and pursuit of damages by VRI.

  3. Users are encouraged to report any misuse of images from the Site to VRI.

  4. VRI reserves the right to update these Permitted Use terms at any time. Continued use of the Site after such changes constitutes acceptance of the new terms.

4.INFORMATION YOU PROVIDE

  1. VRI (or third parties acting on its behalf) may collect information related to your use of the Site. Third-party platforms through which you access the Site may collect information related to your use of such third-party platform and make such information available to VRI subject to your agreement with the applicable third-party platform. VRI’s collection and use of all such information shall at all times conform to these Terms and Conditions, VRI’s privacy policy, and applicable UK law.

  2. VRI will use and protect your personal information, such as your name and payment information, in accordance with VRI’s privacy policy.

 

5.YOUR CONTENT

  1. For any image, footage, text, audio, or any other content that a User uploads or posts to the Site (“Your Content”), the User represents and warrants that:​

    1. They have all necessary rights to submit Your Content to the Site and grant the licenses set forth herein;

    2. They are the owner and creator of the Content, which must be high resolution;

    3. They have obtained the consent of the owner of the vehicle for any image they upload;

    4. any image they upload is of a real vehicle, taken using a camera or smartphone;

    5. VRI will not need to obtain licenses from or pay royalties to any third party with respect to the Content, except as expressly set forth in these Terms and Conditions;

    6. The Content does not infringe any third party’s rights, including intellectual property rights and privacy rights;

    7. The Content complies with these Terms and Conditions and all applicable laws.

  2. Prohibited Content – the User may not upload, post, or transmit any content that:

    1. Infringes any third party’s copyrights or other intellectual property rights or any right of publicity or privacy;

    2. Contains pornographic, defamatory, or otherwise unlawful or immoral content;

    3. Exploits minors;

    4. Depicts unlawful or violent acts;

    5. Depicts animal cruelty or violence towards animals;

    6. Promotes fraudulent schemes or gives rise to a claim of deceptive advertising or unfair competition;

    7. Violates any law, statute, or regulation.

 

You accept full legal responsibility for any violation of the above.

 

 

  1. VRI reserves the right to review, moderate, and remove any of the Content at any time if deemed in violation of these Terms and Conditions or applicable law, without liability to the User.

  2. If you believe that Your Content has been wrongfully removed or used, you may notify VRI to review the matter.

  3. To the extent allowed by law, you hereby waive any moral rights you may have in Your Content, such as the right to be identified as the author or to object to derogatory treatment.

 

  1. VRI is not responsible for, and does not endorse, any user-generated content. Users are solely responsible and liable for their content uploaded to the Site.

  2. Users are responsible for maintaining backups of their content. VRI is not liable for any loss, corruption, or damage to user-uploaded content.

  3. The use of automated systems or software to upload content to the Site is prohibited without VRI's express permission.

  4. VRI retains sole discretion in interpreting and enforcing these Terms and Conditions in relation to Your Content.

  5. Users are prohibited from using any content found on the Site, including VRI Content and user-uploaded content, beyond the scope of the license granted under these Terms and Conditions.

 

6.RESTRICTION AND TERMINATION OF USE

  1. VRI may block, restrict, disable, suspend or terminate your access to all or part of the Site and/or VRI Content at any time at VRI’s discretion, without prior notice or liability to you. Any conduct by you that, in VRI’s sole discretion, restricts or inhibits any other person or entity from using or enjoying the Site is strictly prohibited and may result in the termination of your access to the Site without further notice.

  2. In the event that your account is deleted or banned, whether Your Content is to be removed from the Site or to remain is at VRI’s sole discretion.

  3. Creation of additional accounts for the purpose of evading a ban or penalty against your account is strictly prohibited and will result in the banning and deletion of all accounts belonging to you.

 

7.WARRANTIES AND DISCLAIMERS

  1. Your use of the Site is at your own risk. The Site is provided by VRI under these Terms and Conditions “as is” without warranty of any kind, either expressed, implied, statutory or otherwise. VRI expressly disclaims any and all warranties of any kind, whether express or implied, to each and any service available from the Site, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any other warranty that might arise under any law. Without limiting the foregoing, VRI makes no warranty that:

(i) the Site will meet your requirements; (ii) access to the Site will be uninterrupted; (iii) the quality of the Site will meet your expectations; and (iv) any errors or defects in the site, services or materials will be corrected. VRI makes no representations or warranties that the Site will be permitted in your jurisdiction,

 

that any of Your Content submitted by you will be available through the Site or will be stored by the Site, that the Site will meet your needs, or that VRI will continue to support any particular feature of the Site.

 

8.INDEMNIFICATION

  1. You agree to defend, indemnify, and hold harmless VRI, its subsidiaries, affiliates, licensors, employees, agents, third party information providers, submitters and independent contractors against any claims, damages, costs, liabilities, and expenses (including, but not limited to, reasonable legal fees) arising out of or related to your conduct, your use or inability to use the Site, your breach or alleged breach of these Terms and Conditions or of any representation or warranty contained herein, your unauthorised use of the VRI content, or your violation of any rights of another.

 

9.JURISDICTION & GOVERNING LAW

  1. Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled under the exclusive jurisdiction of the Courts of England and Wales.

 

10.GOVERNING LAW

  1. These Terms and Conditions are governed by and shall be construed in accordance with the laws of England and Wales.

 

11.ENTIRE AGREEMENT

  1. These Terms and Conditions constitute the entire agreement between the parties with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written.

 

12.INTERPRETATION AND ENFORCEMENT

  1. These Terms and Conditions shall be construed neither against nor in favor of any party but rather in accordance with the fair meaning of the language hereof.

  2. The invalidity or unenforceability of any part of these Terms and Conditions shall not affect the validity or enforceability of the balance hereof. Any unenforceable or invalid part shall be amended to achieve as closely as possible the effect of the original term.

 

  1. AMENDMENT

    1. VEHICLE REFERENCE IMAGES reserves the right to amend these Terms and Conditions at any time. All amendments will be posted online, and continued use of the Site will constitute acceptance of the new terms.

 

  1. ASSIGNMENT

    1. You may not assign your rights or obligations under these Terms and Conditions to any other party without the express written consent of COMPANY NAME.

13.WAIVER

  1. The failure of VEHICLE REFERENCE IMAGES to exercise or enforce any right or provision of these Terms and Conditions shall not operate as a waiver of such right or provision.

 

14.NOTICES

  1. Any notices or communication under these Terms and Conditions shall be in writing and shall be deemed delivered to the party receiving such communication on the delivery date when sent by email.

 

15.DISPUTE RESOLUTION

  1. Negotiation and Mediation:** Before resorting to litigation, the parties agree to first attempt to resolve any dispute arising out of or relating to these Terms and Conditions through negotiation and, if necessary, through mediation utilizing an agreed-upon mediator in England and Wales.

  2. Litigation:** If the dispute cannot be resolved through negotiation or mediation, the parties agree to resolve the dispute in the Courts of England and Wales.
